Terms of Service

1. Agreement to Terms

By downloading, accessing, or using the LiveArena application and related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you (“User”, “you”) and LiveArena Inc. (“LiveArena”, “we”, “us”, “our”), a company organized under the laws of the State of Florida, United States.

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Service or via email at least 30 days prior to taking effect. Continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

2. Description of Service

LiveArena provides a platform for:

• — Discovering events, venues, and experiences
• — Purchasing tickets from third-party event organizers
• — Publishing, managing, and promoting events
• — Subscription-based premium features for organizers and venues
• — VIP programs and promotional campaign tools

LiveArena acts as a technology platform connecting event organizers with attendees. We are not the organizer, producer, or promoter of third-party events listed on the Service. Features, functionality, and availability may change without prior notice.

3. Eligibility and Account Registration

You must be at least 18 years of age (or the age of majority in your jurisdiction) to create an account and use the Service. By registering, you represent and warrant that:

• — All information provided is accurate, current, and complete
• — You will maintain and promptly update your account information
• — You are solely responsible for safeguarding your account credentials
• — You accept responsibility for all activity under your account

You must notify us immediately at contact@livearena.ai of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in fraudulent activity.

4. Subscriptions and Payments

Certain features of the Service require a paid subscription. By purchasing a subscription, you agree to the following:

• — Subscriptions are billed on a recurring basis (monthly or annually) and renew automatically unless canceled prior to the renewal date
• — Payment processing is handled by Apple (via In-App Purchases) or Stripe, depending on the platform
• — Subscription management, including cancellation, must be performed through the applicable platform (App Store account settings or web dashboard)
• — No refunds are provided for partial billing periods unless required by applicable law
• — We reserve the right to modify pricing with at least 30 days' prior notice

For subscriptions purchased through the Apple App Store, Apple's terms and refund policies apply. LiveArena does not have the ability to process refunds for Apple-managed subscriptions.

5. Ticket Purchases and Event Transactions

When purchasing tickets through the Service, you acknowledge and agree that:

• — Tickets are sold by third-party event organizers; LiveArena facilitates the transaction as a platform
• — LiveArena does not guarantee the occurrence, quality, safety, or accuracy of any event
• — Event details (date, time, venue, lineup) are provided by organizers and may change without notice
• — A platform service fee may apply to ticket transactions
• — Ticket reservations are held for a limited time and expire if payment is not completed

6. Refunds and Cancellations

Refund eligibility depends on the type of purchase:

• — Event tickets: Refund policies are set by the event organizer. LiveArena will facilitate refunds when authorized by the organizer or required by applicable consumer protection law
• — Subscriptions (Apple): Subject to Apple App Store refund policies
• — Subscriptions (Web/Stripe): Refund requests may be submitted to contact@livearena.ai within 14 days of purchase

Where required by law (including under EU consumer protection rules, Brazilian Consumer Defense Code, or similar legislation), users may exercise their right of withdrawal within the legally prescribed period.

7. User Conduct and Prohibited Activities

You agree not to:

• — Violate any applicable local, state, national, or international law or regulation
• — Post false, misleading, defamatory, or harmful content
• — Attempt to reverse-engineer, decompile, or exploit the Service
• — Circumvent or abuse payment, refund, or promotional systems
• — Use automated means (bots, scrapers) to access the Service
• — Impersonate any person or entity
• — Interfere with or disrupt the Service or its infrastructure

Violation of these rules may result in immediate suspension or termination of your account and, where applicable, referral to law enforcement.

8. Intellectual Property

All content, features, functionality, trademarks, logos, and software associated with the Service are and remain the exclusive property of LiveArena Inc. or its licensors. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

User-generated content (event listings, images, descriptions) remains the property of the user. By posting content, you grant LiveArena a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content in connection with the Service.

9. Disclaimer of Warranties

The Service is provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by applicable law, LiveArena disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components. Nothing in these Terms excludes or limits warranties that cannot be excluded or limited under applicable law.

10. Limitation of Liability

To the maximum extent permitted by applicable law, LiveArena and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, revenue, or business opportunity, arising out of or related to your use of the Service.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to LiveArena in the 12 months preceding the claim. This limitation does not apply where prohibited by applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless LiveArena and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) shall survive.

You may delete your account at any time through the Service settings. Account deletion is processed within 30 days, subject to applicable data retention requirements.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms or the Service shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall be resolved through binding arbitration in Miami-Dade County, Florida, in accordance with the rules of the American Arbitration Association.

For users located in the European Union, European Economic Area, or Brazil, nothing in this section limits your right to bring proceedings in your local courts or to benefit from mandatory consumer protection provisions of your jurisdiction.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
